Terms and Conditions
These Terms and Conditions ("Terms") govern your use of the Portpholios website (https://pro.portpholios.com), the Portpholios mobile app and every service offered through them (together, the "Platform"), provided by Portpholios ("we", "us", "our"). By creating an account, ticking "I accept", connecting a broker, paying for a plan or otherwise using the Platform, you ("you", "the client") agree to these Terms, our Privacy Policy, Refund and Cancellation Policy and Risk Disclosure. If you do not agree, please do not use the Platform.
1. Eligibility and account
- You must be at least 18 years old, resident in India (or permitted to use Indian markets) and legally able to enter a contract.
- The details you give (name, email, mobile number, KYC documents) must be true, complete and your own. You must keep them up to date.
- Your account is for you only. Keep your password, the phone you verified on WhatsApp and your phone's screen lock safe. Everything done through your account is treated as done by you. Tell us at once if you suspect misuse.
- We may refuse, limit or close an account that gives false details or breaks these Terms.
2. Our services
Depending on the plan you choose, the Platform offers: research-based trade signals and market views ("Signals"); AI-assisted signals reviewed by our team; software that places orders in your own broker account according to strategies and settings you choose ("Algo"); live rates, watchlists, positions and P&L views; market news and IPO information; and notifications about all of these. A feature is available only while your plan includes it. We may add, change or remove features at any time.
We are not a stock broker, a depository participant or a bank. We never hold your money or securities: trades happen in your own account with your own SEBI-registered broker.
3. Signals and research
- A Signal states an instrument, a side (buy / sell), an entry, targets and a stop loss, often with a rationale and charts. It reflects our view at the time it is sent, based on data that may change at any moment.
- Signals are general recommendations for subscribers of a plan. They do not consider your personal finances, goals or risk appetite. You decide whether to act on a Signal, how much to trade and when to exit.
- The times and prices shown for a Signal (sent, active, closed) and its P&L are calculated from market prices we receive and are indicative. Your own fills, quantities, charges and taxes will differ.
- We may update, modify, close or cancel a Signal at any time; updates are sent to you through the Platform.
- Past performance of any Signal, strategy or model does not indicate future results.
4. AI-assisted signals
Some Signals are drafted with the help of artificial intelligence from market data and then checked and approved by our team before you see them; they are marked "AI". AI can make mistakes. These Signals carry the same risks and the same terms as any other Signal.
5. Algo trading and your broker
- To use Algo you connect your own broker account and log in to it (usually every trading day). By connecting, you authorise the Platform to place, modify and cancel orders in that account as per the strategies, symbols, quantities and other settings in your control panel, until you change them, switch trading off or disconnect.
- You are responsible for the margin, funds and positions in your broker account and for every order placed in it. Orders are placed at market conditions at that moment; slippage, partial fills, rejections and delays can happen.
- Automated trading depends on your broker, exchanges, internet, data feeds and our servers. Any of them can fail or be slow. We are not responsible for orders that are not placed, placed late, placed twice or rejected for reasons outside our reasonable control. Watch your positions and use your broker's own tools when needed.
- Strategies are built and tested on historical data. Back-tested or simulated results are hypothetical and do not guarantee future results.
- Your broker's terms, charges and limits apply to your broker account. We are not a party to your agreement with your broker.
6. KYC and agreement
Paid services may need KYC: an identity document, a signed client agreement and a short video confirmation. You confirm that every document and statement you give is genuine and yours. We keep them as described in the Privacy Policy and as the law requires. Where the client agreement and these Terms differ on a point, the agreement applies to that point.
7. Plans, payments and autopay
- Prices, durations and inclusions of each plan are shown on the Plans page at the time you buy. Fees are in Indian Rupees and include applicable taxes unless stated otherwise.
- Payments are processed by our payment partner (Razorpay). We do not see or store your card, UPI PIN or bank login.
- Pay once: the plan runs for its period and then ends unless you renew it.
- Autopay: you authorise us to charge the plan price automatically at the start of each period until you cancel. You can cancel autopay any time from your subscription page; the plan then stays active until the end of the period already paid. If a renewal payment fails, it may be retried; if it keeps failing, the plan is paused.
- When a plan ends, its services stop. We send reminders before a plan expires or renews, but renewing on time is your responsibility.
- Refunds are governed by our Refund and Cancellation Policy.
- We may change plan prices for future periods. A change does not affect a period you have already paid; autopay subscribers are told before a new price applies.
8. Notifications and messages
By using the Platform you agree to receive service messages about your account, Signals, plans and payments by email, in-app and push notifications, and on WhatsApp at your registered mobile number, including the one-time codes used to verify a new phone. You can turn off push categories (market open / close, news, morning reminder) and WhatsApp messages in the app's Settings; security codes and essential account messages cannot be turned off. Message and data charges of your mobile operator may apply. Notifications can be delayed or not delivered for reasons outside our control; always check the Platform for the latest status of a Signal.
9. Market data, news and IPO information
Live rates, charts, option chains, news headlines and IPO details come from exchanges, brokers and other third parties. They are provided for information "as is", may be delayed or contain errors, and are not a recommendation. News articles belong to their publishers. Please verify important information from official sources before acting on it.
10. Your responsibilities
- Make your own investment decisions, trade only with money you can afford to lose and seek independent advice if you need it.
- Follow the law, exchange rules and your broker's rules, and pay any taxes on your trades.
- Keep your devices, password and broker credentials secure; keep your phone's screen lock on.
- Check your broker account and positions regularly.
11. Prohibited use
You must not: share, resell, forward, publish or broadcast Signals, research or other paid content to anyone outside your account (including on social media, Telegram or WhatsApp groups); share your login; copy, scrape, reverse engineer or overload the Platform; use it for anything unlawful, including market manipulation or fraud; or upload false or someone else's documents. Breaking this can lead to immediate suspension without refund and legal action.
12. Intellectual property
The Platform, its software, design, strategies, Signals, research, texts and logos belong to Portpholios or its licensors. You get a personal, limited, non-transferable right to use them for your own trading while your plan is active. Nothing in these Terms transfers ownership to you.
13. No guarantee and limitation of liability
- We do not guarantee any return, profit or the accuracy of any Signal, strategy or data. Markets can go against any view.
- The Platform is provided "as is" and "as available". We work to keep it running, but it may be interrupted for maintenance, upgrades or reasons outside our control.
- To the fullest extent the law allows, we are not liable for any trading loss, loss of profit or opportunity, or any indirect or consequential loss arising from the use of, or inability to use, the Platform, Signals, Algo, data or notifications.
- Where we are found liable, our total liability is limited to the fees you paid us for the plan concerned in the three months before the event.
14. Indemnity
You agree to compensate Portpholios, its directors, employees and partners for any claim, loss or cost (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform or your violation of any law or third-party right.
15. Suspension and termination
You may stop using the Platform and request deletion of your account at any time from the app (Settings > Delete account) or by writing to us. We may suspend or close your account, or stop a service, if you break these Terms, if required by law or a regulator, or if continuing would harm other users or the Platform. Records we must keep by law are retained as the Privacy Policy explains.
16. Grievances and disputes
For any complaint, write to us using the contact details below. We acknowledge complaints and aim to resolve them within 30 days. These Terms are governed by the laws of India, and the courts of India have jurisdiction, subject to any dispute resolution mechanism the law makes available to you.
17. Changes to these Terms
We may update these Terms. The version and date at the top show the current text. If a change is significant, we will tell you through the Platform and may ask you to accept the new version before you continue using paid services. Using the Platform after a change means you accept it.
18. General
If any part of these Terms is found invalid, the rest stays in force. Not enforcing a right is not a waiver of it. You may not transfer your account or these Terms; we may transfer them to a successor business. These Terms, together with the policies linked above and any client agreement you sign, are the entire agreement between you and us about the Platform.
